The agreement

By using ChatGenius, you agree to these terms. If you're using it on behalf of a company, you confirm you're authorized to agree on its behalf.

Keep credentials secure

You're responsible for keeping your credentials safe. Report unauthorised access to security@chatgenius.net immediately. One person per operator seat — sharing violates the agreement.

You own it. We host it.

OWN

Ownership

You own the content you upload — knowledge base documents, prompts, custom instructions.

LICENSE

License to us

You grant us the license needed to deliver the service: host, process, feed to the AI, back up. Non-exclusive, non-transferable, terminated on your termination of service.

WARRANT

Warranty

You warrant that your content doesn't infringe third-party rights (IP, trademark, personality) or violate any law.

Spam, illegal content, harassment

Using ChatGenius to send unsolicited messages, distribute illegal content, or harass third parties gets your account suspended.

Misleading commercial communications

Impersonating a third party, false-flag advertising, phishing. Instant suspension + report to authorities.

Scraping, reverse-engineering, reselling

No scraping of ChatGenius UIs / APIs beyond documented endpoints. No reverse-engineering. No reselling without an agency agreement (write partners@).

How we bill. What we promise.

FEE

Billing cadence

Subscription billed monthly or annually. Overages billed on the next invoice at the rates published on /pricing.

GRACE

Non-payment

14-day grace period, then service suspension. Data is preserved for a further 30 days.

REFUND

Refunds

Pro-rated for annual plans, none for monthly. If we cause the outage, we credit downtime against next invoice.

UPTIME

Uptime target

99.9% (43 min/month). Enterprise plans get a contractual SLA (99.95%). Status page: status.chatgenius.net.

SUPPORT

Support response

24h for Starter, 4h for Growth, contractual SLA for Enterprise. During US business hours, expect faster.

MAINT

Maintenance windows

Announced 48 hours in advance via email + status page. Typically 02:00-04:00 UTC.

END

You can cancel anytime

Service continues until the end of your billing period. Data available for export for 30 days after termination, then deleted (backups purge within 90 days).

SUS

We can suspend for violation

Acceptable use violation, non-payment, legal order. Reasonable notice given except when law prohibits.

WARR

Warranties

Service is provided "as is" beyond the uptime SLA. We don't warrant that the AI's answers are always correct — you retain final responsibility for what you ship to your customers.

CAP

Liability cap

Our aggregate liability under this agreement is capped at the fees you paid in the 12 months preceding the claim. Excluded: fraud, gross negligence, IP infringement claims (uncapped).

Mutual protection. Governing law.

YOU

You indemnify us for KB content

If a third party sues us because of content in your KB — infringement, defamation, false advertising — you defend and indemnify us.

US

We indemnify you for our IP infringement

If a third party sues you because our platform infringes their IP, we defend and indemnify you (with standard carve-outs for combinations you made with your own tools).

LAW

Governing law

Commonwealth of Virginia, United States, without regard to conflict-of-law rules.

JUR

Jurisdiction

State and federal courts located in Fairfax County, Virginia. EU customer disputes may additionally be handled per Article 79 GDPR.
